Anticorruption Measures.Supplier hereby represents and warrants (i) in performing its work under this Agreement,Supplier and its Affiliates and agents have not and will not pay,offer or promise to pay,or authorize the payment,directly or indirectly,of any monies or anything of value to any government official,government employee,political party or candidate for political office for the purpose of influencing any act or decision of such person or of the government to obtain or retain business,or direct business to any person; and (ii) Supplier and its Affiliates and agents have not and will not pay,offer or promise to pay,or authorize the payment,directly or indirectly,of any monies or anything of value to any employee of Buyer to obtain or retain business.In the event of a breach of any of the representations set forth in this Exhibit C,Buyer may terminate this Agreement immediately upon notice to Supplier.Further,Buyer’s obligations to pay Supplier with regard to any transaction for which a breach of the representations has occurred shall be rendered automatically terminated and cancelled,and all payments previously paid shall be forthwith refunded to Buyer by Supplier.
